TERMS OF SERVICE

Welcome to ConfigBay. These Terms of Service ("Terms") govern your access to and use of the ConfigBay website, software platform, applications, APIs, content, render generation systems, artificial intelligence tools, and related services (collectively, the "Services").

By accessing or using ConfigBay, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.


1. Eligibility

You must be at least 18 years of age and capable of entering into a legally binding agreement to use the Services.

If you access or use the Services on behalf of a business, company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.


2. Description of Services

ConfigBay is a cloud-based visualization platform that allows users to upload photos, create product configurations, generate AI-powered visualizations, render products onto vehicles and other assets, save projects, share configurations, manage product catalogs, and create interactive customer experiences.

Features and functionality may be modified, added, improved, restricted, suspended, or discontinued at any time without notice.

ConfigBay reserves the right to determine how platform features, render limits, storage, functionality, and services are provided.


3. User Accounts

Users may be required to create an account to access certain features.

You agree to:

  • Provide accurate information

  • Maintain account security

  • Keep login credentials confidential

  • Accept responsibility for activities occurring under your account

You are responsible for all actions performed through your account.


4. User Content

Users may upload photographs, images, product assets, logos, branding materials, vehicle photos, property photos, project photos, graphics, text, and other content ("User Content").

You retain ownership of your User Content.

By uploading User Content, you grant ConfigBay a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, modify, display, render, transmit, and otherwise use such content solely for the purpose of providing and improving the Services.

You represent and warrant that:

  • You own or control all necessary rights to the content

  • The content does not infringe third-party rights

  • The content does not violate any law

  • The content does not contain harmful code or malicious software

ConfigBay does not claim ownership of User Content.


5. AI Generated Renderings and Visualization Disclaimer

ConfigBay utilizes artificial intelligence, machine learning systems, computer-generated imagery, rendering technology, automated image processing systems, and visualization tools to generate product previews, renderings, mockups, visualizations, and configuration outputs.

Users acknowledge and agree that all renderings, previews, mockups, visualizations, generated images, and configuration outputs are provided solely for illustrative, conceptual, marketing, demonstration, and visualization purposes.

ConfigBay does not guarantee the accuracy, completeness, reliability, suitability, compatibility, fitment, measurements, dimensions, colors, materials, finishes, lighting conditions, installation outcomes, or real-world appearance of any rendering or generated output.

Generated renderings may contain inaccuracies, distortions, omissions, estimation errors, visual inconsistencies, or differences from actual products, services, vehicles, properties, assets, environments, or final installations.

Users expressly acknowledge and agree that:

  • Renderings are AI-generated estimates only.

  • Renderings are not engineering drawings.

  • Renderings are not manufacturing specifications.

  • Renderings are not architectural plans.

  • Renderings are not installation instructions.

  • Renderings are not professional advice.

  • Renderings should not be relied upon as the sole basis for purchasing decisions.

  • Renderings should not be relied upon for manufacturing decisions.

  • Renderings should not be relied upon for installation decisions.

  • Renderings should not be relied upon for fitment verification.

  • Actual products, materials, colors, finishes, dimensions, and results may differ significantly from generated visualizations.

  • AI-generated content may not accurately reflect real-world conditions or outcomes.

Users are solely responsible for independently verifying all measurements, product specifications, fitment requirements, compatibility requirements, installation requirements, and purchasing decisions.

ConfigBay makes no representation or warranty that any rendering accurately reflects the final product, installation, appearance, or real-world result.

By using the Services, users expressly acknowledge that ConfigBay's renderings are visualization tools only and are not intended to serve as professional, engineering, manufacturing, architectural, design, fitment, installation, or purchasing advice.


6. Prohibited Activities

Users may not:

  • Violate applicable laws

  • Upload unlawful or infringing content

  • Reverse engineer the platform

  • Copy platform functionality

  • Circumvent security measures

  • Access systems without authorization

  • Distribute malware or harmful software

  • Interfere with platform operations

  • Use automated scraping tools without authorization

  • Use the Services for deceptive or fraudulent purposes

Violation of this section may result in immediate suspension or termination.


7. Intellectual Property

ConfigBay and its licensors retain all rights, title, and interest in:

  • Software

  • Source code

  • Platform architecture

  • User interfaces

  • Branding

  • Trademarks

  • Documentation

  • Technology

  • Proprietary systems

Nothing within these Terms transfers ownership of ConfigBay intellectual property.


8. Service Availability

ConfigBay strives to maintain reliable service but does not guarantee uninterrupted availability.

Services may be interrupted due to:

  • Maintenance

  • Updates

  • Security incidents

  • Technical failures

  • Third-party outages

  • Infrastructure disruptions

ConfigBay shall not be liable for interruptions, delays, downtime, or service unavailability.


9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONFIGBAY DISCLAIMS ALL WARRANTIES OF ANY KIND, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.

CONFIGBAY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPLETELY ACCURATE.


10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONFIGBAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM:

  • Use of the Services

  • Loss of profits

  • Loss of revenue

  • Loss of business opportunities

  • Loss of customers

  • Data loss

  • Customer disputes

  • Product sales

  • Rendering results

  • Visualization results

  • Generated outputs

ConfigBay shall have no liability whatsoever arising from a user's reliance upon any AI-generated rendering, visualization, configuration, recommendation, preview, generated output, or automated result produced through the Services.

Users assume all risks associated with reliance upon renderings, visualizations, and generated outputs.

IN NO EVENT SHALL CONFIGBAY'S TOTAL LIABILITY EXCEED THE TOTAL AMOUNT PAID BY THE USER TO CONFIGBAY DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.


11. Subscriptions, Billing, and Payments

ConfigBay offers subscription-based software plans including, but not limited to, Basic, Pro, Enterprise, and future subscription offerings.

Features, rendering limits, product limits, storage limits, and functionality vary by plan.

Subscription Billing

Subscriptions are billed in advance on a recurring monthly or annual basis.

By subscribing, you authorize ConfigBay and its payment processors to charge your selected payment method for all fees, taxes, and applicable charges.

Automatic Renewal

Subscriptions automatically renew unless canceled before the next billing cycle.

Cancellation prevents future billing but does not provide refunds for the current billing period.

No Refund Policy

Because ConfigBay provides access to digital software, cloud services, rendering infrastructure, AI processing resources, immediately consumable platform functionality, and digital outputs, all purchases are final.

NO REFUNDS SHALL BE PROVIDED FOR:

  • Subscription fees

  • Unused renderings

  • Unused account time

  • Downgrades

  • Account inactivity

  • Customer dissatisfaction

  • Business performance

  • Generated renderings

  • Visualization results

  • Feature misunderstandings

  • Cancellations

All purchases are non-refundable.

Usage Limits

Plans may contain limits relating to:

  • Monthly renderings

  • Product types

  • Product scenes

  • Storage

  • User access

  • Platform functionality

Unused monthly renderings do not roll over unless explicitly stated.

ConfigBay reserves the right to restrict usage, suspend features, require upgrades, or charge additional fees where applicable.

Failed Payments

If payment cannot be successfully processed, ConfigBay may:

  • Retry payment collection

  • Restrict account access

  • Suspend rendering functionality

  • Disable account features

  • Terminate services

Users remain responsible for outstanding balances.

Enterprise Agreements

Enterprise customers may operate under separate written agreements.

Where conflicts exist, the Enterprise agreement shall govern.

Pricing Changes

ConfigBay reserves the right to modify pricing, subscription plans, features, and limits at any time.

Continued use of the Services following a pricing update constitutes acceptance of the revised pricing.

Chargebacks and Payment Disputes

Users agree to contact ConfigBay before initiating a chargeback or payment dispute.

ConfigBay reserves the right to suspend or terminate accounts associated with chargebacks, payment reversals, or disputed transactions.

Users may be responsible for collection costs, legal fees, and expenses arising from improper chargebacks.


12. Indemnification

You agree to defend, indemnify, and hold harmless ConfigBay, its owners, employees, contractors, affiliates, licensors, and service providers from claims, damages, liabilities, losses, expenses, and legal fees arising from:

  • Your use of the Services

  • Your User Content

  • Your violation of these Terms

  • Your violation of applicable laws

  • Claims brought by third parties relating to your activities


13. Account Suspension and Termination

ConfigBay reserves the right to suspend, restrict, or terminate accounts at any time if:

  • These Terms are violated

  • Fraudulent activity is suspected

  • Security concerns arise

  • Payment obligations are not met

  • Continued access presents risk to ConfigBay or its users

Termination may occur without notice.


14. Governing Law

These Terms shall be governed by and interpreted under the laws of the State of Tennessee.

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts located within Tennessee.


15. Changes to These Terms

ConfigBay may modify these Terms at any time.

Updated versions will be posted with a revised effective date.

Continued use of the Services constitutes acceptance of any updated Terms.
